Registered Agent Service Agreement

This Registered Agent Service Agreement (the "Agreement") is entered into between BE3HALY LLC ("BE3HALY", the "Agent") and the customer identified in the account (the "Client"). It governs the registered agent services provided by the Agent.
1. Appointment
The Client appoints BE3HALY as its registered agent in the state of registration selected by the Client. The Agent will maintain a physical address in that state and be available during normal business hours to receive service of process and official correspondence on the Client's behalf.
2. Scope of services
- Receive service of process, legal notices, and official state mail addressed to the Client at the Agent's registered office.
- Promptly scan received documents and make them available to the Client through the Client's online account.
- Provide renewal reminders and basic compliance information related to the registered agent role.
3. What the service does not include
The Agent does not provide legal, tax, or accounting advice, does not act as a mailbox for general business mail, and is not responsible for filing documents that are the Client's obligation unless separately engaged to do so. Where formation or add-on services (such as EIN or BOIR) are purchased, those are governed by the relevant service description.
4. Client obligations
- Maintain accurate contact and forwarding information so the Agent can deliver received documents.
- Review documents promptly and take any action required by a court or state agency.
- Not use the Agent's address for any purpose other than the registered agent function.
5. Term, renewal, and resignation
This Agreement begins on the date the Client's order is completed and continues for the selected term, renewing automatically unless cancelled. The Agent may resign as registered agent in accordance with applicable state law, providing the Client with reasonable notice so the Client can appoint a successor agent.
6. Fees
The Client agrees to pay the fees described at checkout and in the account. State fees are passed through at cost. Refund eligibility is described in the Refund Policy.
7. Limitation of liability
The Agent's liability under this Agreement is limited as set out in the Terms of Service. The Agent is not liable for delays or failures caused by inaccurate Client information or events beyond the Agent's reasonable control.
