Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the websites, applications, and services provided by BE3HALY LLC ("BE3HALY", "we", "us", or "our"), including registered agent and business formation services offered at be3haly.com (the "Services"). By creating an account or using the Services, you agree to these Terms.

1. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for the accuracy of the information you provide and for maintaining the confidentiality of your account credentials. You are responsible for all activity that occurs under your account.

2. The Services

We provide registered agent services in the states we serve, and, where you select it, business formation assistance. As your registered agent, we receive service of process and official state correspondence on behalf of your business at our office address and make those documents available to you. We do not provide legal, tax, or financial advice, and nothing in the Services constitutes such advice.

3. Your responsibilities

• Provide and maintain accurate business and contact information, including a current forwarding address.
• Review documents we make available to you promptly and take any action required by the state or a court.
• Use the Services only for lawful purposes and in compliance with all applicable laws and regulations.

4. Fees and billing

Fees for the Services are described at checkout and in your account. Registered agent service is billed on a recurring basis according to the term you select and renews automatically until cancelled. State filing fees, where applicable, are government charges passed through to you at cost. Payments are processed by our payment processor; you authorize us to charge your selected payment method for all applicable fees.

5. Renewals and cancellation

Your registered agent service renews automatically at the then current rate for your term unless you cancel before the renewal date. You can manage or cancel your subscription from your billing portal. Refund eligibility is described in our Refund Policy.

6. Intellectual property

The Services, including all content and software, are owned by BE3HALY or our licensors and are protected by intellectual property laws. We grant you a limited, non exclusive, non transferable license to use the Services for your business.

7. Disclaimers

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non infringement.

8. Limitation of liability

To the maximum extent permitted by law, BE3HALY will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our total liability for any claim arising out of the Services will not exceed the amounts you paid to us in the twelve months preceding the claim.

9. Termination

We may suspend or terminate your access to the Services if you violate these Terms or if required by law. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive.

10. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the Services or by email. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
